Terms and Conditions
1. Parties and Acceptance
This agreement ("Terms and Conditions") governs the relationship between NobleProg Mexico S.A.S. de C.V. (hereinafter referred to as "NobleProg"), with its registered office at Avenida Eugenia 831, 604-A, Colonia Del Valle, Alcaldía Benito Juárez, Ciudad de México, C.P. 03100, RFC NME170328524, and you, the client (legal entity or public institution) completing the corresponding online registration form.
By completing and submitting the registration form, you declare and guarantee that you are duly authorized by the entity you represent and agree to be bound by these Terms and Conditions.
2. Registration and Reservations
Registration for courses must be completed via the online form available on the NobleProg website. Once the correctly completed form is received and availability is confirmed, your place will be provisionally reserved, subject to payment in accordance with Clause 4 below.
3. Fees and Publication of Rates
The prices for scheduled courses are published on the NobleProg website. These prices must be confirmed before final registration.
4. Payments and Invoicing

The client is obliged to pay 100% of the course fees via bank transfer or deposit in favour of NobleProg, in national currency (MXN), within five (5) business days following the issuance of the corresponding invoice (CFDI).

If payment is not received prior to the start of the course, NobleProg may consider the registration as cancelled, applying the corresponding cancellation clause.
5. Cancellation or Rescheduling by the Client
Any cancellation or rescheduling must be notified in writing to NobleProg prior to the course start date. The following penalties will apply:

20 days or less before the course: 100% of the published price.

21 to 30 days before the course: 50% of the published price.

31 days or more: no penalty.
These penalties constitute a penalty clause, in accordance with the Federal Civil Code, in substitution for damages and losses.
6. Substitutions and Transfers
The client may substitute participants at no additional cost, provided the substitutes meet the course requirements. Transfers to other courses are subject to availability and a $1,000 MXN administrative fee per participant.
7. Cancellation or Rescheduling by NobleProg
NobleProg may cancel or reschedule courses due to force majeure or failure to reach the minimum number of participants. In such cases, the client may choose between:

Participating on a new date; or
-
Requesting a full refund of the amounts paid.
NobleProg will not be liable for any additional expenses incurred by the client (travel, accommodation, per diems, etc.).
8. Intellectual Property
All materials, content, methods, and documentation provided during the courses are the exclusive property of NobleProg and are protected by the Federal Law on Copyright. The client and participants receive only a non-exclusive, personal, and non-transferable license for internal use.
Reproduction, distribution, publication, modification, or use for delivering competing courses is strictly prohibited without written authorization from NobleProg.
9. Protection of Personal Data
In compliance with the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP), NobleProg informs you that:

The collected data corresponds solely to institutional contact information provided by corporate or government entities.

Such data will be used for registration, billing, administration, and provision of the contracted services.

NobleProg implements administrative, technical, and physical security measures to protect this information.

Data will not be shared with third parties unless required by competent authority or applicable legal provisions.
The client, upon registration, confirms having the authority to provide such data on behalf of their entity.
10. Participant Conduct
Participants must conduct themselves with professionalism and respect. NobleProg reserves the right to exclude any participant from the course without refund if their behaviour affects the normal development of the training.
11. Limitation of Liability
NobleProg does not guarantee that the methods, examples, or code presented during courses are free from errors or applicable to all client contexts.
In no case shall NobleProg be liable for indirect damages, loss of profits, or lost opportunity. NobleProg's maximum liability towards the client shall be limited to the amount effectively paid for the relevant course.
Liability exclusion will not be valid in cases of fraud or gross negligence.
12. Jurisdiction and Applicable Law
This agreement is governed by the laws of the United Mexican States. For the interpretation and fulfilment of this contract, the parties expressly submit to the jurisdiction of the competent courts of Mexico City, waiving any other forum that may correspond to them by reason of their present or future domicile.
13. Acceptance
By submitting the online registration form, the client confirms having read and fully accepted these Terms and Conditions.
