Terms and Conditions

 

1. Parties and Acceptance

These Terms and Conditions (“Agreement”) govern the relationship between NobleProg Mexico S.A.S. de C.V. (“NobleProg”), with its registered office at Avenida Eugenia 831, 604-A, Colonia Del Valle, Alcaldía Benito Juárez, Mexico City, C.P. 03100, RFC NME170328524, and you, the client (a corporate entity or public institution) completing the online registration form.

By completing and submitting the registration form, you confirm that you are duly authorized by the entity you represent and agree to be bound by these Terms and Conditions.


2. Registration and Reservations

Course registration must be completed through the online form available on NobleProg’s website. Once the completed form is received and availability confirmed, a provisional place will be reserved, subject to payment as set out in Section 4 below.


3. Fees and Published Prices

Scheduled course fees are published on NobleProg’s website and must be confirmed prior to registration.


4. Payments and Invoicing

  • The client agrees to pay 100% of the course fees by bank transfer or deposit in favor of NobleProg, in the agreed currency, within five (5) business days of the invoice date.

  • If payment is not received before the start of the course, NobleProg may treat the registration as cancelled, applying the cancellation penalties set out in Section 5.


5. Client Cancellation or Rescheduling

All cancellations or requests to reschedule must be submitted in writing to NobleProg prior to the course start date. The following penalties will apply:

  • 20 days or fewer before the course: 100% of the course fee payable.

  • 21–30 days before the course: 50% of the course fee payable.

  • 31 days or more before the course: no penalty.

These penalties constitute an agreed contractual penalty, in lieu of further claims for damages.


6. Substitutions and Transfers

Clients may substitute participants at no additional cost, provided the substitutes meet the course requirements. Transfers to other courses are subject to availability and an administrative fee of USD $50 (or equivalent) per participant.


7. Cancellation or Rescheduling by NobleProg

NobleProg may cancel or reschedule courses due to force majeure events or insufficient enrollment. In such cases, the client may either:

  • Attend on a rescheduled date; or

  • Request a full refund of fees paid.

NobleProg is not responsible for any additional costs incurred by the client (travel, accommodation, per diem, etc.).


8. Intellectual Property

All training materials, content, methods, and documentation delivered during the courses remain the exclusive property of NobleProg and are protected under applicable copyright law.

Clients and participants receive only a non-exclusive, personal, and non-transferable license for internal use. Reproduction, distribution, publication, modification, or use of materials to deliver competing courses is strictly prohibited without prior written consent from NobleProg.


9. Data Protection

In accordance with applicable data protection legislation, NobleProg informs clients that:

  • Data collected relates solely to institutional contact details provided by corporate or government entities.

  • Such data will be used exclusively for registration, invoicing, administration, and service delivery.

  • NobleProg implements appropriate technical, physical, and administrative safeguards to protect such data.

  • Data will not be shared with third parties except where required by law or competent authority.

By registering, the client represents that it is duly authorized to provide such data on behalf of its organization.


10. Participant Conduct

Participants are expected to conduct themselves professionally and respectfully at all times. NobleProg reserves the right to exclude any participant from a course, without refund, if their behavior disrupts the training.


11. Limitation of Liability

NobleProg does not guarantee that the methods, examples, or code presented during training are free from error or universally applicable.

NobleProg shall not be liable for indirect damages, loss of profit, or opportunity costs. The maximum aggregate liability of NobleProg under this Agreement shall not exceed the total course fees paid by the client.

This limitation does not apply in cases of gross negligence or willful misconduct.


12. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the United Mexican States. The parties submit to the jurisdiction of the courts of Mexico City, expressly waiving any other forum that may apply by reason of present or future domicile.


13. Acceptance

By submitting the online registration form, the client acknowledges that it has read, understood, and accepted these Terms and Conditions in full.
